By-Laws Revision Approved at January 2024 Annual Business Meeting
During the January 20, 2024, Annual Business Meeting, held at the Marriott Marquis in Washington, D.C., NAPAHE's membership approved a by-laws revision, which follows:
On November 2, 2023, the NAPAHE Board of Directors met and approved revising Article III Section 1.a. and Article IV Section 2. The bylaws revision permits Active and Associate members in good standing to be elected to the Board of Directors or as Officers of the Corporation, provided that Active Members compose a majority of the board, and grants Associate Members of the Board of Directors the privilege to vote on such maters that come before the board.
More details can be found on pages 14-25 of the annual meeting materials, found here. This amendment passed without objection.
What does this mean for NAPAHE members?
As defined in Article III, Section 1a and 1b, NAPAHE has two classes of membership:
- Active Members (those who hold an administrative position and works in the office of the chief executive officer in any institution or system of higher education); and,
- Associate Members (who, at any time in the past, has held a position in the office of a chief executive officer of an institution of higher education or system of higher education, or who is currently the assistant to the chief executive officer of an educationally-related institution, or is the assistant to the chief academic officer of an institution of higher education or other senior leaders within the system of higher education).
Prior to this amendment, only Active Members in good standing were eligible for election to the corporation's board of directors. Due to the growth and diversification in membership, the Board had made several exceptions to this rule for current board members. Under the new revision, both Active and Associate Members are eligible for election to the board of directors. All board directors may vote on any business that comes before the board, regardless of membership classification.
